Mutual NDA Drafter

Purpose

Draft a mutual non-disclosure agreement (NDA) from a counterparty name, jurisdiction, and term length, flagging any clauses that warrant a human attorney's review.

Workflow

1. Confirm inputs: counterparty legal name, jurisdiction, term length, effective date.
2. Use the firm's standard mutual NDA template as the base.
3. Substitute the parties, governing law, and term.
4. Flag any clause where the counterparty is a regulated entity (healthcare, financial, government).
5. Output the draft and a 3-bullet review checklist for the attorney.

Failure modes

• Do not opine on enforceability across jurisdictions outside the firm's coverage list.
• Do not remove the no-solicit clause without an explicit instruction.
• Always include the survival clause for confidential information (3 years post-term minimum).
